Terms of Service and End User License Agreement

1. Introduction & Acceptance
These Terms of Service and End User License Agreement ("Terms" or "Agreement") constitute a legally binding agreement between you ("you," "your," or "User") and AdBlock Limited, a company registered in Malta with company registration number C 104782, with its registered office at International House, Mdina Road, Mriehel, BKR 3000, Malta ("AdBlock Limited," "AdBlock360," "we," "us," or "our").
This Agreement governs your access to and use of:
- the AdBlock360 website at adblock360.com (the "Website");
- the AdBlock360 Windows desktop application (the "Software"); and
- any related cloud synchronization features and subscription services (collectively, the "Services").
1.1 Acceptance
You accept these Terms by an explicit click-through action, such as:
(a) clicking "Install," "I Agree," "Accept," or a similar button during installation; (b) creating an Account; (c) completing a purchase; or (d) using the Services after being presented with these Terms.
If you do not agree to these Terms, do not download, install, or use the Software or Services.
1.2 Eligibility
You must be at least 18 years old and have the legal capacity to enter into this Agreement. By using the Services, you represent and warrant that you meet these requirements.
1.3 Privacy
Our Privacy Policy and Cookie Policy explain how we collect, use, and protect your personal data. These policies are incorporated by reference into these Terms.
2. Definitions
"Account" means a registered user account you create to access certain features such as cloud synchronization.
"Device" means a compatible Windows computer on which the Software is installed.
"Free Tier" means the version of the Software available without payment, which may have limited features.
"License Key" means the unique code provided upon purchase to activate Premium features.
"Order" means a purchase of a Subscription through our checkout.
"Premium" means a paid subscription tier that unlocks all Software features.
"Services" means the Software, Website, cloud synchronization, and all related services provided by AdBlock Limited.
"Software" means the AdBlock360 Windows desktop application, including all updates.
"Subscription" means a recurring paid plan (Premium or Supporter Plan) and any associated add-ons.
"Supporter Plan" means a paid annual subscription at a personalized price, offering the same features as Premium.
"Trial" means a time-limited period where Premium features are enabled without payment.
3. License Grant (EULA)
3.1 Grant of License
Subject to your compliance with these Terms, AdBlock Limited grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Software on compatible Devices for your personal use or internal business use.
The Software is licensed, not sold. All rights not expressly granted are reserved by AdBlock Limited.
3.2 Device Limits
The Free Tier may be used on an unlimited number of Devices. Premium subscriptions include use on a limited number of Devices as specified at checkout. Additional device capacity may be purchased separately. We may use technical measures, including device identifiers, to enforce these limits.
3.3 License Restrictions
You may not (and may not permit others to):
- reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent such restriction is prohibited by applicable law;
- modify, adapt, translate, or create derivative works of the Software;
- rent, lease, lend, sell, sublicense, distribute, or transfer the Software or your License Key to third parties;
- bypass, disable, or circumvent any license enforcement, security, or digital rights management features;
- remove, alter, or obscure any proprietary notices on the Software;
- use the Software for any unlawful purpose.
3.4 Third-Party Components
The Software may include or interact with third-party components, including open-source software. Additional license terms may apply to those components.
4. Account & Registration
4.1 When an Account is Required
An Account is required to use cloud synchronization and certain account management features. You may use the Free Tier without an Account. You may also activate Premium using a License Key without creating an Account.
4.2 Registration
When creating an Account, you must provide accurate and complete information and keep this information updated. You are responsible for maintaining the confidentiality of your Account credentials and for all activities under your Account.
4.3 Account Sharing
Account credentials are personal and may not be shared with third parties outside your household. Household sharing is permitted only within your applicable device limit.
4.4 Incorrect Email at Purchase
If you purchased without an Account and entered an incorrect email address, contact billing@adblock360.com with your payment receipt for assistance.
4.5 Account Deletion
You may request deletion of your Account through the account portal or by contacting support. If you have an active Subscription, you must cancel it first. We may retain certain transaction records as required by tax and legal regulations.
5. Subscription Plans & Pricing
5.1 Free Tier
The Free Tier provides basic ad-blocking functionality at no charge. We may modify Free Tier features at any time.
5.2 Premium Subscription
Premium subscriptions unlock all Software features and are available on monthly and annual billing cycles. Current pricing is displayed on our Website and at checkout.
5.3 Supporter Plan
We may offer a Supporter Plan to certain users at a personalized price based on location or other factors. The Supporter Plan provides the same features as Premium and is billed annually.
5.4 Promotional Pricing & Renewal Rates
We may offer promotional pricing for initial subscription periods. The renewal price will be clearly displayed during checkout before you complete your purchase. For Supporter Plans, your renewal price is the same personalized price you originally paid (see Section 7.3).
5.5 Regional & Personalized Pricing
Pricing may vary based on your location, promotional offers, or personalized offers at our discretion. All prices are final at checkout.
5.6 Taxes
Prices displayed at checkout include applicable taxes (such as VAT) where required by law.
5.7 Price Changes
We reserve the right to change our prices. Price changes will not affect your current subscription period. We will provide at least 30 days' notice before any price increase takes effect for your next renewal. If you do not agree, you may cancel before the new price takes effect.
6. Payment & Billing
6.1 Payment Processing
All payments are processed by our third-party payment processor (currently Stripe). By making a purchase, you agree to the payment processor's terms. AdBlock Limited is the merchant of record for all transactions.
6.2 Payment Methods
We accept major credit cards, PayPal, Apple Pay, Google Pay, SEPA Direct Debit, and various regional payment methods. Available payment methods may vary by location.
6.3 Confirmation & Receipts
After a successful purchase, we will send a confirmation email containing your License Key, invoice/receipt, renewal date and price, cancellation link, and a link to these Terms. You cannot opt out of transactional emails.
6.4 Failed Payments
If a payment fails, we may retry the transaction using our payment processor's smart retry system. During this grace period (typically 7 to 10 days), your Premium access may remain active. If all payment attempts fail, your subscription will be downgraded to the Free Tier. We will notify you by email of any payment issues.
7. Auto-Renewal
7.1 Automatic Renewal
TO ENSURE UNINTERRUPTED SERVICE, ALL PAID SUBSCRIPTIONS AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD UNLESS YOU CANCEL BEFORE THE RENEWAL DATE.
By purchasing a subscription, you authorize us (and our payment processors) to charge your payment method on file for the renewal price plus applicable taxes.
7.2 Renewal Notification
We will send you an email reminder at least 30 days before your annual subscription renews. This email will include your renewal date, renewal price, and instructions for cancellation.
7.3 Renewal Prices
Your renewal price is the price displayed at checkout when you made your purchase and confirmed in your confirmation and reminder emails. For Supporter Plans, the renewal price is the same personalized price you originally paid. If we change prices for future renewals, we will notify you at least 30 days in advance (see Section 5.7).
7.4 Managing Auto-Renewal
You can disable auto-renewal or cancel your subscription at any time through your account.adb360dev2620.com/cancellation or by using the cancellation link in your renewal reminder email. Disabling auto-renewal will not affect your current subscription period.
8. Free Trial
8.1 Trial Availability
New users may be eligible for a free Trial of Premium features. Trial duration and eligibility rules are displayed in the Software.
8.2 No Payment Required
No payment information is required to start or use the Trial. Your Trial will not automatically convert to a paid subscription and you will not be automatically charged.
8.3 After Trial Expiration
When your Trial expires, your access will automatically revert to the Free Tier unless you choose to purchase a subscription.
8.4 Trial Limitations
We may limit Trials to one per Device and/or one per Account. We reserve the right to determine Trial eligibility and to modify or discontinue Trial offers at any time.
9. Cancellation
9.1 How to Cancel
You may cancel your subscription at any time by:
- Visiting the account.adb360dev2620.com/cancellation
- Using the cancellation link in your account portal
- Contacting support@adblock360.com
9.2 Effect of Cancellation
Cancellation stops future billing. You will retain Premium access until the end of your current paid period. After that date, your account will be downgraded to the Free Tier.
9.3 No Partial Refunds
Except as provided in Section 10, no refund is provided for unused time remaining in your subscription period after cancellation.
10. Refund Policy
10.1 30-Day Money-Back Guarantee
We offer a full refund if you request it within 30 days of your initial purchase date. This guarantee applies to your first purchase of a Premium or Supporter Plan subscription.
10.2 How to Request a Refund
To request a refund, contact billing@adblock360.com or submit a request through our support.adblock360.com. Please include your email address and order details.
10.3 Refund Processing
Approved refunds are typically processed within 10 business days and credited to your original payment method. Actual processing times may vary depending on your financial institution.
10.4 Effect of Refund
Upon refund approval, your Premium access will be terminated immediately and your License Key will be deactivated. Your Account (if any) will be downgraded to the Free Tier. Cloud synchronization data will remain accessible, as this is a free feature.
10.5 Exclusions
Refunds are not available for:
- Renewal payments (our 30-day renewal reminder gives you time to cancel if desired)
- Requests made more than 30 days after the initial purchase
- Purchases that have already been refunded
We may also refuse or limit refunds if we reasonably believe there has been fraud, a chargeback, repeated refund abuse, or a severe violation that resulted in account suspension.
10.6 Statutory Rights
If you are a consumer in the European Union or United Kingdom, this refund policy is in addition to any mandatory statutory rights that cannot be waived. Our 30-day guarantee exceeds the 14-day EU withdrawal period.
11. Software Functionality & Technical Disclosures
To provide ad-blocking functionality, the Software requires integration with your operating system. This section explains the technical components involved.
11.1 Core Functionality
The Software is designed to block advertisements and unwanted content. We do not guarantee that all advertisements will be blocked or that all websites will function normally with the Software enabled.
11.2 Windows Filtering Platform (WFP) Driver
The Software installs a Windows Filtering Platform (WFP) network driver that operates at the kernel level. This component intercepts network traffic at the system level to identify and block requests to known advertising and tracking servers before they reach your browser or applications.
11.3 HTTPS Filtering & Root Certificate
To block advertisements on encrypted (HTTPS) websites, the Software may offer an HTTPS filtering feature that requires installing a root certificate in your Windows Certificate Store (Trusted Root Certification Authorities).
- User consent required: You will be asked for explicit consent before any certificate is installed.
- Optional feature: This is optional and can be disabled at any time in the Software settings.
- Local processing: HTTPS filtering is performed locally on your Device.
- Automatic removal: The certificate is removed automatically when you uninstall the Software.
11.4 System Modifications
The Software may make the following modifications to your system:
- Install a Windows background service for ad-blocking functionality
- Create registry entries for configuration and autostart
- Modify local DNS resolution for filtering purposes
- Add a system tray icon
- Generate a device identifier for licensing and trial eligibility
The Software does not modify your browser settings or system proxy settings.
All modifications are designed to be reversed upon uninstallation.
11.5 Updates
The Software may automatically download and install updates (including security updates) to improve functionality, security, and compatibility. By using the Software, you agree to these automatic updates. Where the Software provides a setting, you can disable automatic updates, but we recommend keeping them enabled for security reasons.
11.6 Filter Lists
The Software uses filter lists to determine which content to block. These lists are maintained by our team and may include adaptations of third-party filter lists. We do not guarantee the accuracy or completeness of filter lists and are not responsible for content that is incorrectly blocked or allowed.
11.7 Data Collection
For information about data we collect, including any diagnostic or usage data, please see our Privacy Policy.
11.8 Uninstallation
You may uninstall the Software at any time using standard Windows uninstallation methods (Settings > Apps > AdBlock360 > Uninstall). The uninstaller will remove all Software components, including any installed certificates and system modifications.
12. Prohibited Uses
You agree not to:
- Use the Services for any unlawful purpose or in violation of applicable laws;
- Attempt to circumvent, disable, or interfere with security features of the Services;
- Interfere with or disrupt the integrity or performance of the Services;
- Attempt to gain unauthorized access to the Services or related systems;
- Use the Services to transmit malware, viruses, or other harmful code;
- Share your Account credentials with third parties outside your household;
- Resell, redistribute, or commercially exploit the Services without authorization;
- Abuse our refund policy through repeated purchase and refund cycles.
13. Intellectual Property
13.1 Ownership
The Services, including the Software, Website, logos, graphics, documentation, and all other materials, are protected by copyright, trademark, and other intellectual property laws. AdBlock Limited and its licensors retain all right, title, and interest in and to the Services. All rights not expressly granted in these Terms are reserved.
13.2 Trademarks
"AdBlock360" and associated logos are trademarks of AdBlock Limited. You may not use our trademarks without our prior written consent.
13.3 Feedback
If you provide us with feedback, suggestions, or ideas regarding the Services, you grant us a non-exclusive, worldwide, royalty-free license to use such feedback for any purpose without obligation to you.
14. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SOFTWARE WILL BLOCK ALL ADVERTISEMENTS, THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ALL WEBSITES WILL FUNCTION CORRECTLY WITH THE SOFTWARE ENABLED.
Some jurisdictions do not allow the exclusion of implied warranties. If you are in such a jurisdiction, the above exclusions may not apply to you to the extent prohibited by applicable law.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADBLOCK LIMITED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms excludes or limits liability that cannot be excluded by law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.
Consumer Rights: If you are a consumer in the European Union or United Kingdom, your mandatory statutory rights remain unaffected by these limitations.
16. Indemnification
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless AdBlock Limited and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your breach of these Terms or violation of applicable law.
17. Term & Termination
17.1 Term
These Terms are effective from the date you first accept them and continue until terminated.
17.2 Termination by You
You may terminate these Terms at any time by uninstalling the Software, deleting your Account (if applicable), and ceasing all use of the Services. If you have an active Subscription, you should also cancel it.
17.3 Termination by Us
We may suspend or terminate your access to the Services if:
- You materially breach these Terms;
- We are required to do so by law;
- You engage in fraudulent activity; or
- You issue payment chargebacks (see Section 17.4 for consequences).
For minor violations, we may provide a warning and reasonable opportunity to cure. For serious violations, we may suspend or terminate immediately without notice.
17.4 Chargebacks
If you dispute a legitimate charge with your payment provider (chargeback), your Premium subscription will be cancelled and your account downgraded to the Free Tier. You may also become ineligible for future refunds. No refund will be provided for subscriptions affected by chargebacks.
17.5 Effect of Termination
Upon termination, your license to use the Software immediately ceases and you must uninstall the Software from all Devices. Sections that by their nature should survive termination will survive, including Sections 13 to 16 and 18 to 19.
18. Changes to Terms
18.1 Right to Modify
We may update these Terms from time to time. For Material Changes, we will notify you at least 30 days in advance by email and/or in-app notice.
18.2 Material Changes
Material Changes include, but are not limited to: changes to pricing, billing practices, refund policy, core functionality, or data handling practices.
18.3 Re-Acceptance Required
If we make Material Changes, we will ask you to re-accept the updated Terms (for example, via an in-app banner requiring you to click "Accept"). If you do not accept, you must stop using the Services. You may cancel your Subscription; refund eligibility is governed by Section 10 and applicable law.
18.4 Non-Material Changes
For non-material changes (such as clarifications or corrections), we may update the Terms without advance notice. The "Last Updated" date at the top of these Terms indicates when changes were made.
19. Governing Law & Disputes
19.1 Governing Law
These Terms are governed by and construed in accordance with the laws of Malta, without regard to conflict of law principles.
19.2 Jurisdiction
Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Valletta, Malta.
19.3 Consumer Rights
If you are a consumer in the European Union, nothing in these Terms affects your statutory rights under applicable consumer protection laws. You may bring legal proceedings in the courts of the EU Member State in which you reside where mandatory law permits.
19.4 EU Online Dispute Resolution
The European Commission provides an Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr. We are not obligated to participate in alternative dispute resolution procedures.
20. General Provisions
20.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and AdBlock Limited regarding the Services.
20.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
20.3 Waiver
Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
20.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
20.5 Notices
We may provide notices to you by email to the address associated with your Account or by posting notices on the Website or within the Software.
20.6 Language
These Terms are drafted in English. If these Terms are translated into any other language, the English version shall prevail in case of any inconsistency.
20.7 Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
20.8 Distribution
The Software may only be obtained from AdBlock Limited or authorized distributors.
